Welcome to CS2Friends ("we", "us", "our", or "the Service"). These Terms of Service ("Terms") govern your access to and use of our website cs2friends.com (the "Site") and the services provided therein. Please read these Terms carefully before using the Service.
By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you disagree with any part of the terms, then you may not access the Service.
1. Acceptance of Terms
By using CS2Friends, you affirm that you are of legal age to enter into these Terms, or, if you are not, that you have obtained parental or guardian consent to enter into these Terms. You agree to comply with these Terms and all applicable local, state, national, and international laws, rules, and regulations.
2. User Accounts and Steam Login
Access to the core features of the Service requires logging in via Steam OpenID. You are solely responsible for maintaining the confidentiality of your Steam account and for restricting access to your computer or device, and you agree to accept responsibility for all activities that occur under your account or password as used on our Service. **Your use of your Steam account itself is subject to Valve Corporation's terms and agreements. CS2Friends is not responsible for unauthorized access to your Steam account or any issues arising directly from your Steam account management.**
You are responsible for managing your CS2Friends account settings, including privacy preferences, which can be accessed via the Account Settings page after logging in. You agree to provide accurate information when configuring your profile.
3. Use of the Platform and User Conduct
You agree to use the Service only for lawful purposes and in a way that does not infringe the rights of, restrict, or inhibit anyone else's use and enjoyment of the Service. Prohibited behavior includes, but is not limited to:
- Harassing, abusing, stalking, threatening, defaming, or otherwise infringing or violating the rights of any other party.
- Using the Service for any fraudulent or unlawful purpose.
- Impersonating any person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity.
- Interfering with or disrupting the operation of the Service or the servers or networks used to make the Service available.
- Attempting to gain unauthorized access to the Service, other accounts, computer systems, or networks connected to the Service.
- Scraping, data mining, or harvesting user information without explicit permission.
- Uploading or transmitting viruses, worms, or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Service.
- Violating any applicable laws or regulations.
4. User Content
You may be able to submit, post, or display content, such as profile information, text in bios, or other materials ("User Content") on the Service. You retain ownership of your User Content.
License Grant: By submitting, posting, or displaying User Content on or through the Service, you grant CS2Friends a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the Service and CS2Friends's (and its successors' and affiliates') business, including without limitation for promoting and redistributing part or all of the Service (and derivative works thereof) in any media formats and through any media channels. This license is solely for the purpose of operating, developing, providing, promoting, and improving the Service.
You represent and warrant that you have all the rights, power, and authority necessary to grant the rights granted herein to any User Content that you submit.
5. Data Collection and Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated herein by reference. By using the Service, you consent to the collection, use, and sharing of your information as described in our Privacy Policy, including data obtained from Steam and data you provide.
6. Intellectual Property Rights
Unless otherwise indicated (including for User Content as defined above), the Service is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws of the United States, foreign jurisdictions, and international conventions. You are granted a limited license to access and use the Service for your personal, non-commercial use only.
7. Steam API and Third-Party Services
The Service utilizes the Steam Web API provided by Valve Corporation. CS2Friends is not affiliated with, endorsed, or sponsored by Valve Corporation. We are not responsible for the availability, accuracy, or content of data provided by the Steam API, which is subject to change according to Valve's policies and your Steam privacy settings. Your use of Steam is governed by Valve's separate agreements.
8. Disclaimers and Service Availability
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. YOU AGREE THAT YOUR USE OF THE SERVICE WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICE AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICE'S CONTENT OR THE CONTENT OF ANY WEBSITES LINKED TO THE SERVICE.
We do not guarantee that the Service will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the Service, resulting in interruptions, delays, or errors. We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Service at any time or for any reason without notice to you. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the Service during any downtime or discontinuance of the Service.
WE WILL ASSUME NO LIABILITY OR RESPONSIBILITY FOR ANY (1) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT AND MATERIALS, (2) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF THE SERVICE, (3) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION STORED THEREIN, (4) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICE, (5) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH THE SERVICE BY ANY THIRD PARTY, AND/OR (6) ANY ERRORS OR OMISSIONS IN ANY CONTENT AND MATERIALS OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICE.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE SIX (6) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING (OR $50 USD IF NO AMOUNT WAS PAID).
10. Indemnification
You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (1) your User Content; (2) your use of the Service; (3) your breach of these Terms of Service; (4) any breach of your representations and warranties set forth in these Terms of Service; (5) your violation of the rights of a third party, including but not limited to intellectual property rights; or (6) any overt harmful act toward any other user of the Service with whom you connected via the Service.
11. Termination
We reserve the right to, in our sole discretion and without notice or liability, deny access to and use of the Service (including blocking certain IP addresses) to any person for any reason or for no reason, including without limitation for breach of any representation, warranty, or covenant contained in these Terms or of any applicable law or regulation. We may terminate your use or participation in the Service or delete your account and any content or information that you posted at any time, without warning, in our sole discretion.
If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party.
12. Governing Law and Dispute Resolution
These Terms of Service and your use of the Service are governed by and construed in accordance with the laws of the State of Delaware applicable to agreements made and to be entirely performed within the State of Delaware, without regard to its conflict of law principles.
13. Dispute Resolution: Binding Arbitration
PLEASE READ THIS SECTION CAREFULLY AS IT AFFECTS YOUR RIGHTS.
Agreement to Arbitrate: You and CS2Friends agree that any claim or dispute at law or equity that has arisen or may arise between us relating in any way to or arising out of this or previous versions of the CS2Friends Terms of Service, your use of or access to the Service, or any products or services sold or purchased through the Service, will be resolved exclusively through final and binding arbitration, rather than in court. Alternatively, you may assert your claims in small claims court, if your claims qualify and so long as the matter remains in such court and advances only on an individual (non-class, non-representative) basis. The Federal Arbitration Act governs the interpretation and enforcement of this Agreement to Arbitrate.
Prohibition of Class and Representative Actions and Non-Individualized Relief: YOU AND CS2FRIENDS AGREE THAT EACH OF US MAY BRING CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION OR PROCEEDING. UNLESS BOTH YOU AND CS2FRIENDS AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN MORE THAN ONE PERSON'S OR PARTY'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CONSOLIDATED, REPRESENTATIVE, OR CLASS PROCEEDING. ALSO, THE ARBITRATOR MAY AWARD RELIEF (INCLUDING MONETARY, INJUNCTIVE, AND DECLARATORY RELIEF) ONLY IN FAVOR OF THE INDIVIDUAL PARTY SEEKING RELIEF AND ONLY TO THE EXTENT NECESSARY TO PROVIDE RELIEF NECESSITATED BY THAT PARTY'S INDIVIDUAL CLAIM(S). ANY RELIEF AWARDED CANNOT AFFECT OTHER USERS.
Arbitration Procedures: Arbitration is more informal than a lawsuit in court. Arbitration uses a neutral arbitrator instead of a judge or jury, and court review of an arbitration award is very limited. However, an arbitrator can award the same damages and relief on an individual basis that a court can award to an individual. An arbitrator should apply the terms of these Terms as a court would.
The arbitration will be conducted by the American Arbitration Association ("AAA") under its rules and procedures, including the AAA's Consumer Arbitration Rules (as applicable), as modified by this Agreement to Arbitrate. The AAA's rules are available at www.adr.org.
The arbitration shall be held in the county in which you reside or at another mutually agreed location. If the value of the relief sought is $10,000 or less, you or CS2Friends may elect to have the arbitration conducted by telephone or based solely on written submissions, which election shall be binding on you and CS2Friends subject to the arbitrator's discretion to require an in-person hearing, if the circumstances warrant. In cases where an in-person hearing is held, you and/or CS2Friends may attend by telephone, unless the arbitrator requires otherwise.
The arbitrator will decide the substance of all claims in accordance with applicable law, including recognized principles of equity, and will honor all claims of privilege recognized by law. The arbitrator shall not be bound by rulings in prior arbitrations involving different users, but is bound by rulings in prior arbitrations involving the same CS2Friends user to the extent required by applicable law. The arbitrator's award shall be final and binding and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
Opt-Out Procedure: IF YOU ARE A NEW USER OF OUR SERVICE, YOU CAN CHOOSE TO REJECT THIS AGREEMENT TO ARBITRATE ("OPT-OUT") BY SENDING US A WRITTEN OPT-OUT NOTICE ("OPT-OUT NOTICE") VIA EMAIL. THE OPT-OUT NOTICE MUST BE SENT NO LATER THAN 30 DAYS AFTER THE DATE YOU ACCEPT THE TERMS OF SERVICE FOR THE FIRST TIME. YOU MUST EMAIL THE OPT-OUT NOTICE TO: support@cs2friends.com. You must provide your full name and Steam64 ID, along with a clear statement that you wish to opt out of this arbitration agreement.
Future Amendments to the Agreement to Arbitrate: Notwithstanding any provision in the Terms to the contrary, you and we agree that if we make any amendment to this Agreement to Arbitrate (other than an amendment to any notice address or site link provided herein) in the future, that amendment shall not apply to any claim that was filed in a legal proceeding against CS2Friends prior to the effective date of the amendment.
Choosing to opt out will not affect your ability to use the Service.
14. Miscellaneous
- Entire Agreement: These Terms of Service and any policies or operating rules posted by us on the Service (including the Privacy Policy) constitute the entire agreement and understanding between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us.
- Waiver: Our failure to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision. A waiver by us of any default shall not constitute a waiver of any subsequent default. No waiver by us is effective unless it is communicated to you in writing.
- Severability: If any provision or part of a provision of these Terms of Service is determined by any court or other competent authority to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Terms of Service and does not affect the validity and enforceability of any remaining provisions. The remaining provisions shall continue in full force and effect.
- Assignment: We may assign any or all of our rights and obligations under these Terms to others at any time without notice to you. You may not assign any of your rights or obligations under these Terms without our prior written consent.
- No Partnership: There is no joint venture, partnership, employment or agency relationship created between you and us as a result of these Terms of Service or use of the Service.
- Headings: The section headings used in these Terms are for convenience only and shall not limit or otherwise affect the interpretation of these Terms.
15. Changes to Terms
We reserve the right, in our sole discretion, to make changes or modifications to these Terms of Service at any time and for any reason. We will alert you about any changes by updating the "Last Updated" date of these Terms of Service. It is your responsibility to periodically review these Terms of Service to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms of Service by your continued use of the Service after the date such revised Terms are posted.
